Terms of Service
The terms that govern your use of this website and any engagement with Adshouz for marketing or development services.

Acceptance of these terms
These Terms of Service govern your use of adshouz.com and any services provided by Adshouz Digital LLP (“Adshouz”, “we”, “us”). By using this site or engaging us, you accept these terms.
Where you have signed a separate proposal, statement of work or master services agreement with us, that document prevails over these terms to the extent of any conflict.
Our services
We provide digital marketing and development services, which may include Google Ads management, SEO, social and affiliate campaigns (CPS, CPL and CPI models), analytics implementation, landing pages and website development.
The exact scope, deliverables, timelines and fees for your engagement are set out in your proposal or statement of work. Anything not expressly listed there is out of scope.
Your responsibilities
To let us do our work, you agree to:
- Provide timely access to the advertising accounts, analytics properties, domains, hosting and content we need.
- Ensure everything you supply — copy, creative, claims, offers, product data — is accurate, lawful and yours to use.
- Fund your own advertising accounts. Media spend is paid by you directly to the platform and is separate from our fees unless your agreement says otherwise.
- Give feedback and approvals within the timelines agreed, so delivery is not delayed.
- Comply with applicable advertising, consumer protection and data protection law.
Fees and payment
Fees, billing frequency and payment terms are as stated in your proposal. Unless agreed otherwise, invoices are payable within 7 days of issue and all fees are exclusive of GST and other applicable taxes.
We may pause work on overdue accounts after written notice. Fees already invoiced for work performed are non-refundable, except where we have failed to deliver an agreed deliverable.
Third-party platforms
Our services depend on platforms we do not control, including Google, Meta, LinkedIn and affiliate networks. Your campaigns are subject to their policies, approval processes, pricing and algorithm changes.
We are not responsible for account suspensions, ad disapprovals, policy changes, outages or pricing changes imposed by these platforms. We will, however, work with you in good faith to resolve such issues where we reasonably can.
No guarantee of results
Digital marketing outcomes depend on many factors outside our control — your pricing, product, market, competition, sales process and platform behaviour among them.
Any figures we discuss, including forecasts, benchmarks, case studies and past client results, are illustrative and not a guarantee of future performance. We do not warrant specific rankings, traffic volumes, lead counts, ROAS or revenue unless a particular target is expressly stated as a guarantee in a signed agreement.
Intellectual property and ownership
Your property. Your brand, trademarks, content and data remain yours. Ad accounts and analytics properties in your name remain yours, and you keep access when the engagement ends.
Deliverables. On full payment, ownership of the final deliverables created specifically for you — ad creative, copy, landing pages and custom code — transfers to you.
Our property. Our methodologies, internal tooling, templates, frameworks and know-how remain ours. Nothing in an engagement transfers these, and we may reuse them for other clients.
Portfolio use. We may reference your name, logo and non-confidential, anonymised performance results as a case study. Tell us in writing if you would rather we did not, and we will not.
Confidentiality
Each party will keep the other’s non-public business information confidential and use it only for the engagement. This does not apply to information that is already public, was independently developed, or must be disclosed by law. These obligations continue for three years after the engagement ends.
Term and termination
Either party may terminate a rolling engagement on 30 days’ written notice. Either party may terminate immediately if the other commits a material breach and fails to remedy it within 15 days of written notice.
On termination you remain liable for fees for work performed up to the termination date. We will hand over access, assets and reporting for work you have paid for.
Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental or consequential loss, including lost profits, lost revenue, lost data or loss of business opportunity.
Our total aggregate liability arising out of or in connection with an engagement is limited to the fees you paid us in the three months immediately preceding the event giving rise to the claim. This limit does not apply to liability that cannot be excluded under Indian law, or to either party’s breach of confidentiality.
Media spend is excluded from this cap because it is paid by you directly to the platforms and never held by us.
Indemnity
You agree to indemnify us against third-party claims arising from content, products, claims or data you supply, or from your breach of applicable advertising, consumer protection or data protection law. We agree to indemnify you against third-party claims that our original deliverables infringe their intellectual property.
Use of this website
Content on this site is provided for general information and does not constitute professional advice. You may view and download it for your own non-commercial use.
You may not scrape, republish, resell or misrepresent our content, attempt to gain unauthorised access to our systems, or use the site in any way that is unlawful or that interferes with its operation. We may modify or withdraw any part of the site at any time.
Governing law and jurisdiction
These terms are governed by the laws of India. The courts at New Delhi have exclusive jurisdiction over any dispute, and the parties will attempt to resolve disputes in good faith before commencing proceedings.
Changes to these terms
We may update these terms from time to time. The revision date at the top of this page reflects the current version. Continuing to use the site or our services after an update means you accept the revised terms. Changes do not retrospectively alter a signed agreement.
